These terms govern every dataset, export, or commissioned collection ("the data") that Data Sells, LLC ("we") delivers to you, and your use of datasells.ai. A written quote we send you and your acceptance of it form an order under these terms. If you accept on behalf of an organization, you accept for that organization. Where a signed agreement between us says otherwise, the signed agreement wins.
We sell exports from archives we hold and we build datasets to order. A quote states what is delivered: the sources, the fields, the row or document count as measured at delivery, the format, and the delivery path. Counts are measured, not estimated; where a quote gives a figure before the cut is made, the delivered manifest is the figure that binds. We keep delivered files available for download for thirty days after delivery unless the quote says longer.
Prices are as quoted, in US dollars, exclusive of taxes you owe. Payment is due as the quote states; unless it says otherwise, in full before delivery. Every sale is final once the data is delivered: the data cannot be returned, and we do not refund for how you later use it or for results it does not produce. If we fail to deliver what the quote describes, our remedy is to complete the delivery or refund the shortfall, at our choice.
On payment you receive a perpetual, non-exclusive, non-transferable licence to use the data inside your organization for research, analysis, and the training and evaluation of models, and to distribute models and results derived from it. You may not resell, sublicense, or redistribute the data itself, in whole or in substantial part, or make it available as a dataset to third parties, without our written consent. You may share it with contractors working for you under obligations at least as protective as these terms.
Use the data lawfully. Do not use it to identify, profile, contact, harass, or discriminate against individuals, to send unsolicited messages, or in any way that violates a law, a court order, or the rights of others, including privacy and intellectual-property rights. Comply with any use restrictions stated in the quote for a particular source. You are responsible for your own compliance obligations in the places you operate.
The data is collected from publicly available sources and from sources licensed to us. It contains material written by others; we do not own that material and grant no rights in it beyond the licence above. We remove records on lawful request and will tell you when a removal affects data we delivered to you; you agree to honour such removals in your own copies within thirty days of notice.
The data is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, fitness for a purpose, and non-infringement. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or goodwill, and our total liability arising out of an order is limited to the amount you paid us for that order.
If your use of the data in violation of these terms or the law draws a third-party claim against us, you will defend and indemnify us against it.
We may end your licence if you materially breach these terms and do not cure the breach within fourteen days of notice. On termination you will delete the data and confirm deletion in writing; models and results already derived from it are unaffected.
We may change these terms; changes take effect when posted on this page with a new effective date and apply to orders placed after that date. These terms are governed by the laws of the State of California, excluding its conflict-of-law rules, and any dispute belongs exclusively to the state or federal courts located in California. If part of these terms is unenforceable, the rest stands; our not enforcing a provision does not waive it; you may not assign these terms without our consent, while we may assign them as part of a reorganization or sale; and these terms together with the quote constitute the entire agreement between us on the subject.
